Privacy, Confidentiality & Intellectual Property Policy

This Privacy, Confidentiality & Intellectual Property Policy (“Policy”) outlines the standards, procedures, and commitments of GoldWell Corporation, a company registered in Japan, operating under the trade name Ascott Consulting (“the Company”), regarding the protection of client information, proprietary data, and intellectual property.  We recognize that our clients entrust us with highly sensitive business and personal information, as well as provide access to resources and environments that may involve strategic, financial, and operational data. The Company is committed to maintaining the highest levels of privacy, security, and respect for intellectual property in every engagement.

 

1. Scope

This Policy applies to:

All clients, partners, subcontractors, employees, and associates engaged in business with the Company.

All information collected, processed, stored, or transmitted during the course of any project or engagement.

All intellectual property created, developed, or provided by the Company or received from clients in the course of providing services.



2. Confidentiality Commitment

Non-Disclosure Obligations


All employees, subcontractors, and associates of the Company are bound by a company-wide Non-Disclosure Agreement (NDA), which can be executed electronically for convenience and immediate protection. The NDA covers all business, financial, technical, and personal information shared in the course of business, whether in written, oral, or digital form.

Client Information Handling


  • All client information is handled on a strict “need-to-know” basis, with access limited to personnel directly involved in the project.

  • The Company does not disclose, share, or sell any client information to third parties without explicit written consent, except where disclosure is required by law or regulatory authority.

  1. Security Measures

  • Data is stored securely in compliance with the Act on the Protection of Personal Information of Japan (APPI), the EU General Data Protection Regulation (GDPR) (where applicable), and other relevant international standards.

  • Security measures include encryption, secure physical storage, password-protected systems, and regular security audits.

  1. Duration of Confidentiality

  • Confidentiality obligations survive the termination or completion of any engagement and remain in effect indefinitely, unless otherwise agreed in writing.

 

3. Privacy Protection

  • Personal information: name, title, contact details.

  • Business information: project details, vendor data, operational processes, financial records.

  • Technical information: website usage data, device identifiers, and cookies for website analytics.

  1. Use of Data

  • To deliver consulting, vendor management, and strategic advisory services.

  • To communicate regarding proposals, project updates, and invoices.

  • To comply with contractual, legal, and regulatory requirements.

  1. International Data Transfers

  • For global projects, information may be transferred to overseas offices or partners, with safeguards to ensure equivalent protection standards.

 

4. Intellectual Property Protections

  1. Company-Owned Intellectual Property

  • All materials, strategies, reports, presentations, processes, methodologies, branding, and proprietary tools created or provided by the Company are the exclusive property of the Company unless otherwise stated in writing.

  • These works are protected under Japanese and international copyright, trademark, and intellectual property laws.

  1. Client Use of Company Intellectual Property

  • Clients are granted a non-exclusive, non-transferable, revocable license to use Company intellectual property solely for the purposes of the agreed project or service.

  • No ownership rights are transferred unless explicitly stated in a signed agreement.

  1. Client-Owned Materials

  • Materials, data, or intellectual property provided by the client prior to or during the engagement remain the property of the client and will not be used by the Company outside the scope of the engagement without consent.

  1. Prohibited Uses

  • Without prior written consent, clients may not reproduce, distribute, modify, sublicense, or share the Company’s intellectual property with third parties for commercial or non-commercial purposes.

 

5. Enforcement and Remedies

  • Any unauthorized use, disclosure, or reproduction of the Company’s confidential information or intellectual property will be considered a breach of this Policy and may result in immediate termination of services, legal action, and claims for damages.

  • The Company reserves the right to seek injunctive relief to prevent ongoing or imminent misuse of its intellectual property or confidential information.

 

6. Governing Law and Jurisdiction

This Policy is governed by and interpreted in accordance with the laws of Japan. Any disputes arising from or related to this Policy shall be subject to the exclusive jurisdiction of the Tokyo District Court.

 

7. Acknowledgement

By engaging the services of GoldWell Corporation (operating as Ascott Consulting), clients acknowledge and agree to abide by the terms of this Privacy, Confidentiality & Intellectual Property Policy.
