Intellectual Property Statement


All works, materials, deliverables, strategies, methodologies, and other intellectual property created, developed, or provided by GoldWell Corporation, a company registered in Japan and operating under the trade name Ascott Consulting (“the Company”), in the course of any engagement are, unless otherwise expressly agreed to in writing, the sole and exclusive property of the Company.


This ownership extends to, but is not limited to:

  • Written reports, proposals, studies, analyses, and project documentation prepared for or provided to the client.

  • Training manuals, guides, educational resources, and other instructional content.
  • Proprietary processes, consulting methodologies, operational frameworks, and strategic models.
  • Designs, schematics, diagrams, charts, and other visual or graphical representations.
  • Digital assets, including but not limited to templates, code, software tools, and data sets.
  • Branding elements such as names, logos, slogans, taglines, marketing materials, and promotional content.

All such works are protected under applicable Japanese and international copyright, trademark, and other intellectual property laws and conventions. They are provided to the client strictly and exclusively for use in connection with the specific project, service, or engagement for which they were created or supplied. Unless expressly granted in writing through a separate license or transfer agreement, no right, title, or interest in any intellectual property is assigned, conveyed, or otherwise transferred to the client. The client is granted only a limited, non-exclusive, non-transferable, and revocable right to use such materials strictly for the purposes defined in the project scope and agreement with the Company.


The client shall not, without the Company’s prior written consent, copy, reproduce, adapt, modify, distribute, publish, transmit, or otherwise make available any of the Company’s intellectual property, in whole or in part, to any third party, whether for commercial gain or any other purpose.


The client is expected to take all reasonable measures to safeguard the Company’s intellectual property from unauthorized use, access, or disclosure. Any unauthorized use, reproduction, or distribution of the Company’s intellectual property constitutes a material breach of engagement terms and may result in immediate termination of services, as well as legal action to enforce the Company’s rights and seek any remedies available under law.


By engaging the services of GoldWell Corporation (operating as Ascott Consulting), the client acknowledges, understands, and agrees to comply with these intellectual property protections in full.
